Compliance / Contract Paralegal; work with Development and Construction Management teams in support of the firm's large Commercial and Residential Real Estate Development projects being built in NY. Help Negotiating, drafting, and memorializing of commercial terms with various vendors (suppliers, contractors, subcontractors, etc.) and ensuring that parties are in compliance with these contract / agreements. Job Responsibilities: The Compliance Paralegal will work closely with both the development senior management team (design and construction project management) and the firm's Chief Financial Officer (CFO) to negotiate and formalize contracts, track insurancecompliance, organize contract exhibits and serve as a liaison between construction and accounting departments.
Draft, review, and negotiate complex commercial agreements including construction contracts and supply chain/procurement agreements.
Review contract language and memorialize trade contracts and indemnity. Work closely with Construction Project Managers to organize contract exhibits.
Provide counsel on construction, insurance, risk management, mechanic’s liens, tax issues, and lien waivers.
Verify and track all subcontractor insurance compliance and spearhead other construction risk management programs.
Support Accounting team with updated tracking and recording of commercial terms.
Draft commercial lease amendments and related documents in support of company’s leasing counsel.
Skills Required: · Minimum of 3 years’ experience as a Real Estate Paralegal preferred but direct contract administration/compliance officer/construction project management experience as a paralegal would be considered. · Strong written and verbal communication skills and ability to engage with sophisticated counterparties that may be encountered during negotiations · Self-starter with strong project management and multi-tasking skills and an ability to remain organized, collaborative and effective in a fast-paced environment.
